BURNABY, British Columbia, April 3, 2001 - (PRNEWSWIRE) - MERLIN Software Technologies International, Inc (OTC Bulletin Board: MLSW), a provider of
Linux based software applications and utilities, today announced that the Securities and
Exchange Commission cleared comments on the Company's Form SB-2 registration statement and
that registration statement was declared effective on Friday, March 29, 2001.
The registration statement qualifies the resale of the shares of the Company's common stock,
that are issuable upon the conversion of certain convertible notes and the exercise of the
share purchase warrants in connection with a private placement that closed in August, 2000.
The registration statement also qualifies the resale of shares of the Company's common stock
that were issued in earlier private placements.
Under the terms of the private placement which closed on August 24, 2000, MERLIN sold an
aggregate of US $2.1 million in Convertible Notes and 1,520,000 Share Purchase Warrants. The
Company received $1.1 million on August 24, 2000 and the balance of $1.0 million is due seven
trading days after the effectiveness of the registration statement with the Securities and
Exchange Commission.
