Merlin Signs Development, Distribution and Marketing Deal with ICICI Infotech Inc.Strategic alliance enables company to tap high quality IT resources and reach global markets |

Burnaby, BC - February 27, 2002 - Merlin Software Technologies International, Inc. (OTCBB: MLSW), a leading developer of network attached storage (NAS) appliances and the Merlin SecurDVRTM today announced that it has signed a memorandum of understanding (MOU) with ICICI Infotech Inc. ICICI Infotech is a leading information technology services company and a subsidiary of ICICI Ltd. (NYSE: IC), recognized as one of the most technically astute financial groups in the world. Under the terms of the MOU, Merlin and ICICI have formed a strategic alliance pursuant to which ICICI's software engineering group will develop specific functional enhancements for Merlin's EssentialServerTM and SecureDVRTM. Further to this engineering component, the MOU also confirms ICICI's intention to market and distribute co-branded EssentialServer and SecurDVR products in the US, the Middle East and India. ICICI will also assist Merlin in identifying and developing local market-based manufacturing and assembly resources in the Far East.
